These Terms and Conditions ("Terms") govern your access to and use of ShipLog (the "Service"), provided by Sami Hindi ("we", "us", "our"). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

1. Parties

2. Eligibility

You must be at least 16 years old and legally capable of entering a binding contract. You represent and warrant that your registration and use comply with all applicable laws.

3. Accounts and Security

  • You must provide accurate and complete information.
  • You are responsible for all activity under your account.
  • You must maintain the security of your credentials and promptly notify us of any suspected compromise.

4. Subscription, Billing, and Refunds

  • Fees: We may charge fees for certain features or plans. Prices and billing cycles are disclosed at checkout and may change with notice.
  • Auto-renewal: Subscriptions renew automatically until canceled. You can cancel at any time; cancellation takes effect at the end of the current billing period.
  • Refunds: Except where required by law, all payments are final and non-refundable.
  • Taxes: You are responsible for all applicable taxes, duties, and government charges.

5. Your Content

You retain ownership of content you submit to the Service ("Your Content"). You grant us a worldwide, non-exclusive, royalty-free, transferable, sublicensable license to host, store, reproduce, modify, adapt, translate, create derivative works from, publicly perform, publicly display, and otherwise use Your Content as necessary to operate, provide, improve, and promote the Service, and to develop new products and features. You represent and warrant that you have all rights necessary to grant this license.

6. Acceptable Use

  • No illegal, infringing, harmful, or deceptive activities.
  • No reverse engineering, scraping, data mining, or rate limiting circumvention.
  • No interference with or disruption of the Service or networks.
  • No use to create a competing product without our consent.
  • We may remove content, restrict features, or suspend/terminate accounts at our sole discretion to protect the Service or others.

7. Intellectual Property

The Service, including all software, designs, text, graphics, logos, and other materials, is owned by us or our licensors and is protected by intellectual property laws. Except for rights expressly granted in these Terms, we reserve all rights.

8. Third-Party Services

The Service may depend on or integrate with third-party products or services. We are not responsible for third-party terms, content, or actions. Your use of third-party services is at your own risk and may be governed by separate terms.

9. Beta and Experimental Features

We may offer beta, experimental, or pre-release features. Such features are provided "as is" without warranties and may be changed or discontinued at any time.

10. Modifications to the Service

We may add, modify, or remove features, or suspend or discontinue the Service at any time, with or without notice. We are not liable for any resulting impact.

11. Warranties Disclaimer

The Service is provided on an "AS IS" and "AS AVAILABLE" basis without warranties of any kind, whether express, implied, statutory, or otherwise, including implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. We do not warrant that the Service will be uninterrupted, timely, secure, or error-free, or that data will be accurate or preserved without loss.

12. Limitation of Liability

To the maximum extent permitted by law, in no event will we be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or any loss of profits, revenues, data, goodwill, or other intangible losses, arising out of or related to your use of or inability to use the Service, whether based on contract, tort, strict liability, or otherwise, even if we have been advised of the possibility of such damages. Our aggregate liability for all claims relating to the Service shall not exceed the greater of: (a) the amounts you paid to us (if any) in the 12 months preceding the event giving rise to the claim, or (b) USD $50.

13. Indemnification

You agree to defend, indemnify, and hold harmless Sami Hindi and our affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of or related to: (a) your use or misuse of the Service; (b) Your Content; (c) your violation of these Terms; or (d) your violation of any rights of a third party or applicable law.

14. Term and Termination

We may suspend or terminate your access to the Service at any time, with or without notice, for any reason or no reason, including if we believe you have violated these Terms or to protect the Service or others. Upon termination, rights and licenses granted to you will end. Sections that by their nature should survive (including payment, ownership, disclaimers, limitations of liability, indemnification, and dispute resolution) will survive termination.

15. Changes to These Terms

We may update these Terms at any time in our sole discretion. Changes are effective upon posting unless otherwise specified. Your continued use of the Service after changes become effective constitutes acceptance of the updated Terms.

16. Governing Law; Dispute Resolution

These Terms are governed by the laws of Switzerland, excluding its conflict of laws rules. Any dispute will be resolved through binding individual arbitration conducted in Zurich, Switzerland, in English, under the rules of Swiss Arbitration Association. You and we waive any right to a jury trial or to participate in a class action or representative proceeding. Notwithstanding the foregoing, either party may seek injunctive relief in a court of competent jurisdiction for actual or threatened infringement, misappropriation, or breach of confidentiality.

17. Export and Sanctions

You represent that you are not located in, under the control of, or a national or resident of any country or person subject to applicable sanctions or export restrictions. You agree to comply with all export control and sanctions laws.

18. Miscellaneous

  • Assignment: You may not assign or transfer these Terms without our prior written consent. We may assign these Terms without restriction.
  • Severability: If any provision is held unenforceable, it will be modified to the minimum extent necessary, and the remaining provisions will remain in effect.
  • Entire Agreement: These Terms constitute the entire agreement and supersede all prior understandings regarding the Service.
  • No Waiver: Our failure to enforce any provision is not a waiver of our right to do so later.
  • Notices: We may provide notices via the Service, email, or posting on our website.
